Affiliate Partner agrees to defend, indemnify, and hold harmless FoxEcom from and against any claims, actions or demands, including, without limitation, reasonable legal and professional services fees, arising or resulting from:
- Your breach of this Agreement
- Your participation in the Program
- Your access to, use, misuse or illegal use of Customer Data
- Our use of any Customer Data that you provide to us
FoxEcom will notify the Affiliate Partner of any such claims, suits, or proceedings and provide all necessary information and assistance requested by the Affiliate Partner for the defense of the claim. FoxEcom reserves the right to assume exclusive defense and control of any matter subject to indemnification under this section, in which case the Affiliate Partner agrees to cooperate with any reasonable requests to assist FoxEcom’s defense of such matter.
